These Terms form a binding agreement between you and Zenithyn Technologies Private Limited, covering your use of www.octynerp.com and all OCTYN cloud services. By creating an account, booking a demo, subscribing to a plan or using the website, you confirm that you have read and agree to these terms and our Privacy Policy. If you are accepting on behalf of a business, you confirm you have authority to bind it.
01 Definitions
- "OCTYN", "we", "us", "our" — Zenithyn Technologies Private Limited, operator of the platform at www.octynerp.com.
- "Platform" — OCTYN's cloud application and all modules: inventory, sales, pricing, purchases, accounting, reconciliation, workforce, assets and reporting.
- "User", "you", "your" — any individual or business that accesses, registers for or uses the Platform.
- "Account" — the registered profile created to access the Platform.
- "Subscription" — the paid or trial plan you select.
- "Business Data" — the financial, operational, employee, customer and tax data you store or process on the Platform.
- "Services" — all features, modules, integrations and support provided under a Subscription.
02 Eligibility & account registration
2.1 Eligibility
To use OCTYN you must be at least 18, have the legal capacity to enter a binding contract, conduct lawful business activity, and not be barred from receiving the Services under applicable law. If you register for a business, you must be authorised to bind it to these terms.
2.2 Registration
You agree to provide accurate, complete and current information and to keep it updated. You are responsible for the confidentiality of your credentials and must not share them. We may suspend or terminate accounts containing false or fraudulent information.
2.3 Account security
You are responsible for all activity under your account. Notify us immediately at [email protected] if you suspect unauthorised access. We are not liable for loss arising from your failure to protect credentials or report issues promptly.
2.4 Multiple users
Depending on your plan, several users can share one business account. The account administrator assigns role-based permissions and is responsible for managing access and ensuring users comply with these terms.
03 Subscription plans & billing
3.1 Plans
OCTYN is offered at ₹2,000 per month for the complete platform, on a 6-month or 1-year term, with the annual term billed once a year at 10% off. Current pricing is shown on our website. Prices are in Indian Rupees and exclusive of applicable taxes unless stated. We may change or introduce plans with reasonable notice.
3.2 Minimum term
Subscriptions are for a minimum term of 6 months. The annual plan carries a 12-month term and the same features as the 6-month plan, with the only difference being the 10% discount for committing to a year.
3.3 Payment
Subscription fees are payable in advance for the term selected, through approved methods including cards, net banking and UPI, processed securely via Razorpay. We use secure third-party gateways and do not store full card details on our servers.
3.4 Auto-renewal
Plans auto-renew at the end of each term unless cancelled beforehand. You authorise us to charge your chosen method at each renewal. We send a reminder at least 7 days in advance. Disable auto-renewal from your dashboard at least 3 days before renewal.
3.5 Price changes
We may change pricing with at least 30 days' notice to existing subscribers. Continued use after a change means acceptance; if you disagree, you may cancel before the new price takes effect without penalty.
3.6 Taxes & GST
Fees are subject to applicable Indian taxes including GST at the prevailing rate. We issue a GST-compliant invoice for every payment.
04 Refund & cancellation
4.1 Cancellation by you
You may cancel any time from your dashboard. Access continues until the end of the current paid term, after which the account moves to limited access. Cancellation does not entitle you to a refund for the unused part of the current term unless our Refund Policy states otherwise.
4.2 Refunds
Fees are generally non-refundable once a term begins. We review requests case by case: if a platform-side technical issue prevents use and we cannot resolve it in reasonable time, a pro-rata refund may apply; if you are charged incorrectly due to our billing error, we refund the incorrect charge in full. Submit requests within 7 days of the billing date to [email protected].
4.3 Cancellation by OCTYN
We may suspend or cancel your account if you breach these terms, engage in fraudulent or illegal activity, fail to pay after notice, or harm other users or our infrastructure. No refund is issued where cancellation results from a violation of these terms.
05 Acceptable use
5.1 Permitted use
OCTYN is for lawful business use — managing your accounting, GST compliance, payroll, inventory, sales and customer relationships in the normal course of legitimate operations, including access by your authorised staff and CA firms under the permissions you set.
5.2 Prohibited use
You must not use the Platform for any unlawful, fraudulent or unauthorised purpose; upload data that infringes third-party or legal rights; attempt to gain unauthorised access to accounts, servers or networks; transmit malware; reverse engineer or extract source code; resell or sublicense the Platform without written consent; overload or impair the service for others; or scrape data with automated tools without authorisation.
5.3 Consequences
Violations may lead to immediate suspension or termination, legal action under applicable Indian law, forfeiture of refund entitlement, and liability for damages caused.
06 Intellectual property
6.1 OCTYN's IP
All rights in the Platform — software, design, interface, graphics, logos, trademarks and documentation — belong to OCTYN or its licensors. You receive a limited, non-exclusive, non-transferable, revocable licence to use the Platform for your own business during your active subscription.
6.2 Your data
You keep full ownership of the business data and content you create or upload. We claim no ownership; you grant us a limited licence to store and process it solely to provide the Services, ending on account closure subject to legal retention.
6.3 Feedback
If you send suggestions or feature ideas, you grant us a perpetual, royalty-free licence to use and implement them without obligation to compensate you.
07 Data privacy & security
We process your data as described in our Privacy Policy, which is incorporated into these terms by reference. We maintain appropriate technical and organisational safeguards, and you are responsible for protecting your credentials, managing user permissions, keeping your devices secure and reporting suspected breaches. While we back up data regularly, we encourage you to keep your own copies of critical records; we are not liable for loss caused by events beyond our reasonable control, provided we have appropriate backup and recovery in place.
08 Availability & uptime
8.1 Service availability
We target 99.9% monthly uptime but do not guarantee uninterrupted, error-free access. Scheduled maintenance, upgrades and unforeseen issues may occasionally cause downtime.
8.2 Scheduled maintenance
We give advance notice of planned maintenance where possible and typically schedule it during off-peak hours.
8.3 Service changes
We may modify, enhance or discontinue features, with reasonable notice of significant changes. Continued use after a change means acceptance.
09 Third-party integrations
9.1 General
OCTYN integrates with services such as the GSTN portal, banks, payment gateways, SMS and email providers. These are subject to the respective provider's terms; we do not control their availability, accuracy or performance.
9.2 GSTN portal
E-invoicing, e-way bills and GST filing depend on the government-operated GSTN portal. We are not liable for delays or failures caused by GSTN downtime or changes beyond our control.
9.3 Banking
Bank feeds are read-only; OCTYN cannot initiate transactions or modify your bank account. Availability depends on participating banks and their APIs.
10 Limitation of liability
10.1 Warranties
The Platform is provided "as is" and "as available" without warranties of any kind, to the maximum extent permitted by law, including implied warranties of merchantability and fitness for a particular purpose.
10.2 Cap on damages
To the maximum extent permitted by law, OCTYN's total liability for any claim shall not exceed the fees you paid in the three months before the event giving rise to the claim. We are not liable for indirect, incidental, special or consequential damages, including lost profits, data or business.
10.3 Exceptions
Nothing here limits liability for death or personal injury caused by our negligence, for fraud, or for anything that cannot be excluded under applicable law.
11 Indemnification
You agree to indemnify and hold harmless OCTYN, its directors, officers, employees and partners from claims, damages and reasonable legal costs arising from your misuse of the Platform, your breach of these terms or any law, your infringement of third-party rights, harmful data you upload, or unauthorised use of the Platform through your credentials.
12 Governing law & disputes
12.1 Governing law
These terms are governed by the laws of the Republic of India, including the IT Act 2000, the Indian Contract Act 1872, the Consumer Protection Act 2019, the GST Act 2017 and the Digital Personal Data Protection Act 2023.
12.2 Resolution
The parties will first try to resolve any dispute through good-faith negotiation within 30 days of written notice.
12.3 Arbitration
If unresolved, the dispute is referred to arbitration under the Arbitration and Conciliation Act 1996, before a sole arbitrator, seated in India, conducted in English. The arbitrator's decision is final and binding.
12.4 Jurisdiction
Subject to arbitration, the courts of India have exclusive jurisdiction over matters requiring judicial intervention.
13 Termination
13.1 By you
Cancel any time from your dashboard. Access continues to the end of the current term, after which the account is deactivated.
13.2 By OCTYN
We may suspend or terminate immediately, without notice, for material breach, illegal or abusive conduct, security risk, or where required by law.
13.3 Effect
On termination your licence ends and platform access stops. We retain data for the periods required by law (see the Privacy Policy). You may request a data export beforehand via [email protected]. Clauses that by nature survive — IP, liability, indemnity and governing law — continue after termination.
14 Force majeure
OCTYN is not liable for delay or failure caused by events beyond our reasonable control, including natural disasters, pandemics, government action, war or civil unrest, power outages, internet infrastructure failures or third-party outages. We will work to restore normal service as quickly as possible and keep affected users informed.
15 Amendments
We may update these terms to reflect changes to our services or the law. For significant changes we will email you at least 30 days in advance, show an in-product notice and update the "Last updated" date. Continued use after the effective date means acceptance; if you disagree, stop using the Platform and cancel before the changes take effect.
16 General provisions
16.1 Entire agreement
These terms, with the Privacy Policy and any incorporated policies, are the entire agreement between you and OCTYN and supersede prior agreements.
16.2 Severability
If any provision is found unenforceable, it will be modified to the minimum extent necessary and the rest remains in effect.
16.3 Waiver
Failure to enforce a right is not a waiver; waivers must be in writing and signed by an authorised OCTYN representative.
16.4 Assignment
You may not assign your rights without our written consent. OCTYN may assign to a successor in a merger, acquisition or sale of assets.
16.5 No partnership
Nothing here creates a partnership, agency, franchise or employment relationship between you and OCTYN.
